Terms and Conditions
The ThermaSol Certified Professionals Program ("the Program") is designed to encourage sales of ThermaSol Steambath Company ("the Company") products by providing individuals ("Participant(s)") accepted into the Program with a cash bonus for the sale of specified products. WhileThermaSol Steambath Company considers the quality and reputation of its products as eminently sufficient to support the sale of such products, theThermaSol Certified Professionals Program is designed to allow the Company to show its appreciation for the efforts of sales professionals in the marketing of those products.
The ThermaSol Certified Professionals Program is intended for the exclusive use of individuals completing the specified online application and training located at ThermaSol.com. Acceptance into the ThermaSol Certified Professionals Program is at the sole discretion of ThermaSol Steambath Company. Participants accepted into the ThermaSol Certified Professionals Program may be removed from the Program, with or without cause, at any time, at the sole discretion ThermaSol Steambath Company. ThermaSol Steambath Company agrees that it would be responsible for the payment of any amounts owing to a Participant at the time of his or her removal from the Program.
All sales of specified products including in the Program must be verified by submission of sales' receipts prior to any payment being made to a Participant in the Program. Since the purpose of the Program is to encourage verifiable and legitimate sales of specified products manufactured by the Company, returns of said products by customers for a refund will result in the Company requiring the Participant to return any payment provided for sale of the returned product.
The ThermaSol Certified Professionals Program may be cancelled by ThermaSol Steambath Company at any time, without advance notice and in the sole discretion of the Company. If the Program is cancelled, any remaining reward due to a Participant will only be distributed only after full payment of the final invoice (pertinent to the Reward request) to Thermasol by the distributor of the Participant.
If Thermasol, in its' sole discretion, determines that a Participant and/or a Distributor engages in any fraudulent conduct with respect to a request for a reward that is not due or owing, then Thermasol will void any request for a reward, expel the Participant and /or Distributor from the Program andThermasol will avail itself of all remedies under the law.
Participation in the Program does not create an employment relationship of any kind between the Company and Participants. the Company is not vicariously liable for any personal injuries or property damage to any person or entity arising out of the intentional, negligent or fraudulent conduct of any Participant in the Program and all Participants agree to defend, indemnify and hold harmless the Company from any claims or lawsuits arising out of the intentional, negligent or fraudulent conduct of any Participant in the Program. the Company does not authorize, and is not responsible for, any statements or representations made by a Participant in the Program regarding any of the Company's products included in the Program that are not directly and specifically set forth by the Company in promotional materials regarding the specified products.
Participants are solely responsible for information provided to the Company regarding Participant's identity, location and qualifications. Participants are solely responsible for providing required documentation to the Company regarding any sales and compensation under the Program. the Company is not responsible for computer virus, bugs, tampering, unauthorized intervention or technical failures of any sort.
These Terms and Conditions are subject to the laws of the State of Texas. Any controversy or claim arising out of or relating to these Terms and Conditions, or to the Program, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
Both Participant(s) and the Company agree that the Program, Participant's participation in the Program, and these Terms and Conditions, will be, and will remain, strictly confidential. Accordingly, the Program, Participant's participation in the Program, and these Terms and Conditions, and any facts arising out of, or in any way related to the Program, Participant's participation in the Program, and these Terms and Conditions, shall be advertised, published, or disclosed by any of the Parties, or by their agents, to any person, except that the Program, Participant's participation in the Program, and these Terms and Conditions may be disclosed: (a) as required by law or court order; or (b) by written agreement of the Participant(s) and the Company.
These Terms and Conditions represent all such terms and conditions of the Program as of the date such Terms and Conditions were posted. The Terms & Conditions may, however, be changed at any time under the sole discretion of the Company.
